Welcome to Hire Emmie, a product of Techy Train Incubator Ltd registered in Nigeria and Hire Emmie LLC registered in Wyoming, United States. Hire Emmie (“we,” “us,” or “our”) provides a platform that connects skilled African female tech professionals (“Talents”) with businesses and individuals seeking to hire them (“Employers”). By accessing or using the hireemmie.com website and services (collectively, the “Platform”), you agree to these Terms of Use (“Terms”). If you do not agree to these Terms, please refrain from using the Platform.
1. Acceptance of Terms
By accessing or using the Platform, you agree to comply with and be bound by these Terms, our Privacy Policy, and any other rules or guidelines posted on the Platform. If you are entering into this Agreement on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Use of the Platform
2.1. Eligibility
- You must be at least 18 years old to use the Platform.
- By registering as a Talent or Employer, you represent that you have the legal capacity to enter into a binding agreement and that all information you provide is accurate and truthful.
2.2. Account Registration
- To access certain features of the Platform, you must register for an account. Talents will be required to fill out a form, take assessments, and provide relevant details about their skills and experience. Employers must submit their hiring requests and details about their projects.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3. Account Termination
- Hire Emmie reserves the right to suspend or terminate your account if you violate these Terms, provide false information, or engage in fraudulent or illegal activities on the Platform.
3. Talents and Employers
3.1. Talents
- Talents are required to complete their profiles, including submitting accurate information about their skills, experience, and preferences.
- Talents must also complete assessments and other requirements as determined by Hire Emmie to assess their suitability for various projects.
- Talents must adhere to the specific terms of their contracts with Employers and must not circumvent Hire Emmie to work directly with Employers for 12 months after completing a project with them (see Section 6.3 on Non-Circumvention).
- Talents are required to submit weekly progress reports and maintain ongoing communication with their Project Manager and the Employer.
3.2. Employers
- Employers must submit accurate project details and hiring requests. Employers are responsible for providing a clear scope of work, project timelines, and expectations for the Talent they hire.
- Employers must pay the required fees, including a $25 non-refundable processing fee to submit a hiring request, a $25 recruitment fee per Talent hired, and a 10% service charge on the Talent’s compensation. All payments must be made in advance before the Talent commences work.
- Employers agree not to pay Talents directly. Instead, all payments will be made through Hire Emmie, and funds will be held until the Employer is satisfied with the deliverables.
4. Payments and Fees
4.1. Non-Refundable Processing Fee
- Employers must pay a non-refundable $25 processing fee to submit a hiring request. This fee will be deducted from the final onboarding payment if the Employer proceeds with hiring Talent through Hire Emmie.
4.2. Recruitment Fee
- Employers agree to pay a recruitment fee of $25 per recruited Talent. For three or more Talents hired in the same request, Employers will receive a discount, reducing the fee to $20 per Talent.
4.3. Service Charge
- Employers must pay a monthly service charge of 10% of the total amount paid to the Talent. This fee covers Hire Emmie’s oversight and management of the Talent’s work to ensure quality delivery.
4.4. Payment Process
- All payments, including the Talent’s compensation and Hire Emmie’s service charge, must be made in advance before work commences. Hire Emmie will hold the funds and release them to the Talent once the Employer confirms satisfaction with the deliverables.
4.5. Refund Policy
- Hire Emmie does not encourage refunds. However, if after reiterations the Employer is still dissatisfied with the Talent’s performance and, beyond reasonable doubt, Hire Emmie is unable to provide satisfactory delivery, a refund of the Talent’s compensation and service charge may be issued.
5. Project Oversight and Dispute Resolution
5.1. Oversight
- Hire Emmie provides oversight to ensure that Talents meet the project goals and deliverables. Talents are required to submit weekly progress reports to both the Employer and Hire Emmie.
5.2. Dispute Resolution Between Talents and Employers
- In the event of a dispute between the Employer and Talent regarding deliverables, Hire Emmie will act as a mediator to attempt to resolve the issue. If the dispute remains unresolved, Hire Emmie may replace the Talent at no additional recruitment fee.
- Any disputes arising from this Agreement will first be attempted to be resolved through negotiation between the Parties. If unresolved, the dispute will be settled through binding arbitration (see Section 9 on Governing Law and Dispute Resolution).
6. User Obligations
6.1. Compliance with Laws
- Users agree to comply with all applicable laws and regulations when using the Platform.
6.2. Non-Disclosure Agreement
- All Talents and Employers agree to maintain confidentiality regarding sensitive information obtained through projects or the Platform. Any breach of confidentiality may result in legal action or termination of the agreement.
6.3. Non-Circumvention
- Talents and Employers agree not to engage in direct business relationships outside of Hire Emmie for 12 months following the completion of any project facilitated by Hire Emmie. Any violation of this clause will result in termination of accounts and potential legal action.
7. Intellectual Property
7.1. Ownership
- All content, branding, and intellectual property associated with Hire Emmie are owned by Techy Train Incubator Ltd and Hire Emmie LLC. Unauthorized use or reproduction of any content from the Platform is strictly prohibited.
7.2. User-Generated Content
- By submitting content (e.g., project details, profiles) to the Platform, you grant Hire Emmie a worldwide, royalty-free license to use, modify, and display this content as part of its services.
8. Limitation of Liability
- Hire Emmie is a facilitator connecting Talents and Employers and is not liable for the quality of the work delivered by Talents. While we provide oversight, the ultimate responsibility for project acceptance lies with the Employer.
- Hire Emmie is not liable for any indirect, incidental, or consequential damages arising from the use of the Platform.
9. Governing Law and Dispute Resolution
- This Agreement shall be governed by, and construed in accordance with, the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
- Any disputes arising from this Agreement will first be attempted to be resolved through negotiation. If unresolved, the dispute will be settled by binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC). Arbitration will take place in a neutral location agreed upon by both Parties, and the language of the arbitration shall be English.
10. Changes to Terms
Hire Emmie reserves the right to modify or update these Terms at any time. Users will be notified of significant changes via email or an update on the Website. Continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.
