Contract Agreement Between Hire Emmie and Employer

This contract ("Agreement") is entered into by and between Hire Emmie ("Company") and you who will be filling out this form ("Employer") on [today's date - the date you submit this form], collectively referred to as the "Parties." This Agreement outlines the terms and conditions under which the Employer engages Hire Emmie to provide recruitment services, connect skilled African female tech professionals ("Talent"), and oversee project execution.

1. Scope of Services

  • Hire Emmie will process the Employer’s talent request, identify suitable candidates from its pool of skilled African female tech professionals, and conduct an initial interview process to ensure the right fit.
  • The Employer will have the opportunity to interview shortlisted talents before making a final selection. Hire Emmie will facilitate this process to ensure the Employer finds the best talent for the project.
  • Hire Emmie will provide oversight throughout the project to ensure that the talent meets the expectations set by the Employer and that all deliverables are completed according to the project scope.

2. Non-Refundable Processing Fee

  • Upon submitting a request, the Employer agrees to pay a non-refundable processing fee of $25 to Hire Emmie.
  • This fee will be deducted from the Employer’s final onboarding payment if they proceed with hiring talent through Hire Emmie.
  • If the Employer decides not to proceed after the request submission, the processing fee will not be refunded.

3. Recruitment Fee

  • The Employer agrees to pay a recruitment fee of $25 per recruited talent. This fee applies once the Employer has selected and agreed to hire a talent for their project.
  • Discount Offer: If the Employer recruits three or more talents within the same request, Hire Emmie will offer a discount on the total recruitment fee (e.g., $5 off per talent, resulting in $20 per talent).
  • The recruitment fee is a one-time fee per talent, separate from the ongoing service charge.

4. Service Charge and Payment Structure

  • The Employer agrees to pay Hire Emmie a monthly service charge of 10% of the amount paid to the talent. This service charge covers the oversight provided by Hire Emmie to ensure the quality and timely delivery of the work.
  • Payment Process: The Employer will not pay the talent directly. Instead, payments for both the talent's compensation and Hire Emmie's service charge will be made to Hire Emmie before the project commences. These funds will be held by Hire Emmie and only disbursed to the talent once the Employer confirms satisfaction with the deliverables.
  • In the event the Employer is not satisfied with the deliverables, Hire Emmie will facilitate reiterations. If, after reasonable efforts, the work still does not meet expectations, Hire Emmie will replace the talent.
  • Refunds: While Hire Emmie does not encourage refunds, in the event that Hire Emmie is unable to provide satisfactory delivery beyond reasonable doubt, a refund will be issued. Only the money paid for the talent’s compensation and the service charge will be refunded.

5. Payment Terms

  • Payments for recruitment fees, service charges, and talent compensation must be made promptly in accordance with the payment schedule provided by Hire Emmie.
  • All payments must be made before the project commences to allow Hire Emmie to hold the funds securely until the work is completed and approved by the Employer.
  • Failure to make timely payments may result in the suspension of services, withholding of deliverables, or termination of the Agreement.

6. Responsibility of the Employer

  • The Employer is responsible for clearly defining the scope of the work, timelines, and deliverables when hiring talent through Hire Emmie.
  • The Employer agrees to maintain clear communication with both Hire Emmie and the talent throughout the project duration, ensuring that all expectations are understood.
  • The Employer must provide all necessary materials, access, and information required for the talent to complete the assigned project efficiently.

7. Oversight and Quality Assurance

  • Hire Emmie will provide oversight to ensure that the talent meets project goals and delivers quality results according to the agreed-upon scope.
  • The Employer acknowledges that while Hire Emmie facilitates communication and provides oversight, the Employer remains responsible for the ultimate acceptance of the talent’s work.
  • If the talent fails to deliver quality work as per the project scope, the Employer must communicate this with Hire Emmie, and Hire Emmie will mediate any disputes and seek an appropriate resolution, including replacing the talent if necessary.

8. Talent Communication and Work Monitoring

  • Hire Emmie will ensure that talents submit weekly reports on their progress, providing updates to both the Employer and Hire Emmie.
  • The Employer is encouraged to communicate directly with the talent regarding project-related issues while keeping Hire Emmie informed for oversight purposes.

9. Non-Solicitation Clause

  • The Employer agrees not to engage or hire any talent introduced through Hire Emmie outside of the Hire Emmie platform for at least 12 months following the completion of any project. This applies even if the Employer has terminated this Agreement.
  • Violation of this clause may result in legal action, penalties, or immediate termination of this Agreement.

10. Confidentiality and Non-Disclosure Agreement

  • Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project.
  • The Employer agrees to respect and uphold any non-disclosure agreements signed between the talent and Hire Emmie concerning project details and sensitive information.

11. Termination

  • Either party may terminate this Agreement by providing 30 days' written notice. However, the Employer must settle any outstanding payments, including service charges and recruitment fees, before termination.
  • Hire Emmie reserves the right to terminate the Agreement immediately in the case of non-payment or breach of terms by the Employer.

12. Liability

  • Hire Emmie facilitates the recruitment process and oversees project delivery but does not assume responsibility for the performance of the talent beyond the agreed-upon oversight.
  • Hire Emmie is not liable for any losses, damages, or disputes arising from the relationship between the Employer and the talent outside the scope of this Agreement.

13. Dispute Resolution and Governing Law

  • This Agreement shall be governed by, and construed in accordance with, the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
  • In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its breach, termination, or validity, the Parties agree to first attempt to resolve the matter through good faith negotiations.
  • If the dispute cannot be resolved through negotiations within 30 days, the dispute shall be settled by binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The arbitration shall take place in a neutral location agreed upon by both Parties, or if no agreement is reached, in [Neutral Location]. The language of the arbitration shall be English.
  • The decision of the arbitrator(s) shall be final and binding on both Parties, and judgment on the award may be entered in any court of competent jurisdiction.
